How to set up a UAE company from Australia

In shortTo set up a UAE company from Australia, choose your activity and jurisdiction first (a Dubai freezone, mainland, or ADGM in Abu Dhabi), then complete licensing, a registered address and a bank account. Much of it can be done remotely. The catch is tax: Australia has no double tax agreement with the UAE, so a UAE company does not change your Australian position while you remain an Australian resident.

How do you set up a UAE company from Australia?

Four decisions, in this order: what the company will actually do, where it will be licensed, who will own and manage it, and how it will bank. Everything else (forms, translations, attestations) follows from those answers.

Get the order right and the process is straightforward. Get it wrong and you end up with a licence that doesn’t cover your real activity, or a company no bank will touch. The second is the more common problem.

Should an Australian founder choose freezone, mainland or ADGM?

Dubai is the default starting point, but the right jurisdiction depends on the business.

OptionBest suited toMain trade-off
Dubai freezone (DMCC, IFZA, Meydan and others)Online businesses, consultants, trading, holding companiesRestricted from trading directly in the local market without extra arrangements
Dubai mainlandBusinesses selling to UAE customers, or needing premisesMore setup steps and typically higher running costs
ADGM (Abu Dhabi)Funds, fintech, structures wanting common-law courtsGeared to regulated and professional activity
RAKEZ (Ras Al Khaimah)Budget-conscious setups, light industrialLess city infrastructure and fewer in-person services
Sharjah (SHAMS)Media, creators, small online operationsNarrower activity range

Costs vary by freezone, package and visa allocation, so check current rates directly with the authority or through an adviser. Freezone websites such as DMCC publish their own activity lists, and it is worth reading them before you commit.

Can you do it remotely, and what still needs you in the UAE?

Licensing and company registration can usually be handled remotely. Residency cannot be completed entirely at a distance, because the Emirates ID and medical steps require a visit. If you intend to live here, plan one trip to handle those together.

The bank account is the part to take seriously. UAE banks run thorough due diligence, and they ask Australian applicants about source of funds, the business model and why the UAE. Prepare a clear, documented story before you apply. Our company formation team builds that file alongside the licence, because the two should match.

What does the UAE company mean for your Australian tax?

This is where Australian founders most often get caught out. A UAE company does not alter your Australian tax residency, and it does not shelter you while you are still an Australian resident.

Australian residency is not a simple day count. The ATO applies the common-law “resides” test plus three statutory tests (domicile, 183 days, and the Commonwealth superannuation test), and the answer turns on your facts. A long-proposed “bright line” reform has been recommended but, as far as we could verify in October 2026, has not been legislated.

There is also no double tax agreement between Australia and the UAE. The Australia-UAE CEPA is a trade agreement, not a tax treaty, so treaty tie-breakers and treaty relief are not available to you.

What changes if you also move to the UAE?

If you cease Australian tax residency, CGT event I1 applies. That is a deemed disposal, at market value, of assets that are not taxable Australian property. You can elect to keep those assets within the Australian CGT net instead, which defers the tax rather than removing it.

Two further points. Superannuation stays preserved under Australian rules, and leaving does not unlock it. And if you own an Australian home you later sell as a non-resident, the CGT main-residence exemption can be affected, so get advice before you list it. For anything finer than this, you need Australian-qualified tax advice. We coordinate with advisers on the Australian side rather than replace them.

What UAE taxes will the company face?

Personal income tax in the UAE is 0%. Corporate tax is 9% on taxable profits above the threshold, and 5% VAT applies where you are registered or required to register. A Qualifying Free Zone Person can access a 0% rate on qualifying income, but only if it meets the conditions, including real substance. The Federal Tax Authority sets out the registration and filing rules, and a company still has to register for corporate tax even where its liability is nil.

What are the common mistakes?

  • Picking the cheapest freezone before checking that the licence covers your real activity.
  • Assuming the company address changes your Australian tax position.
  • Applying for a bank account without a coherent source-of-funds file.
  • Treating the company as a paper shell. Substance matters for tax, banking and reputation.
  • Ignoring the Australian side until after the company has started invoicing.

Questions people ask

Can I register a UAE company from Australia without travelling?

Often, yes. Many freezones accept applications, documents and signatures remotely, and the licence can be issued without you landing. Residency is different, because the Emirates ID process needs you in the UAE for biometrics and a medical. Banking varies by bank and is where remote applicants most often get stuck.

Will a UAE company let me stop paying Australian tax?

No. Tax follows your residency, not your company's address. Australian residents are generally taxed on worldwide income, and Australia has no tax treaty with the UAE to relieve or tie-break. The 0% personal income tax in the UAE only becomes useful once you have genuinely ceased Australian tax residency.

Do I have to give up Australian tax residency to own a UAE company?

No. Plenty of Australians own UAE companies while still resident in Australia. But the Australian tax treatment of that company's income then needs Australian-qualified advice, and it should be settled before you invoice anything.

Which is better for an Australian founder, freezone or mainland?

It depends on who your customers are and whether you need a physical presence. Freezones suit most service, online and holding businesses. Mainland suits those trading directly with UAE customers or needing retail or office premises.

What happens to my superannuation if I move to the UAE?

It stays preserved under Australian rules. Moving overseas does not unlock it, and a UAE company or residency does not change that. Check the specifics with your fund and an Australian-qualified adviser.

Where this gets specific to you: how the Australian rules land depends on your residency status, your income types and what you keep in Australia. The general picture is a start; your plan needs your numbers and Australian-qualified advice.
